1. Agreement to Terms

By creating an account, establishing a corporate workspace, or utilizing any AI Employees or Briefcase modules provided by TheBlock ("the Service"), a division of ONEAPE("we", "us", or "our"), you agree to be bound by this User Policy and Terms of Use ("Terms"). Please read these Terms carefully before using our platform. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service & AI Employees

TheBlock provides independent solo workers and small business owners with a multi-agent system consisting of integrated AI Employees (such as Galatea, Sean, Lublinsky, Kavya, Yash, Shay, Sandy, Caleb, Anna, Chris, and Bob) and a digital productivity Briefcase (containing Calendar, Invoicing, Contracts, Workspaces, and Directory tools).

Nature of AI Agents: You acknowledge that AI Employees are automated systems designed to perform administrative tasks, organize schedules, draft templates, map relationships, and compose messages. They do not constitute human employees, licensed legal counsel, or certified public accountants. You are solely responsible for reviewing and confirming all drafts, invoices, and legal agreements prepared by AI agents before final dispatch or execution.

4. Subscription, Billing, and Stripe Transactions

Subscription Fee: Access to all AI Employees and Briefcase features is billed on recurring monthly subscriptions starting at $20.00 USD. All payments are processed securely via Stripe. Subscriptions are billed in advance on a rolling monthly basis and are auto-renewed unless canceled.

Invoicing and Outbound Collections: If you use Lublinsky (Accounts Receivable) to automate customer invoices, you authorize the Service to track invoice states and trigger automated friendly reminders to your customers. We assume no responsibility for customer non-payment, dispute management, or processing delays on the Stripe network.

5. Account Integrity & Third-Party Integrations

To provide high-utility automation, you may connect third-party platforms (such as your Gmail account via Google OAuth or your Stripe dashboard).

• You are solely responsible for maintaining the confidentiality of your account tokens and passwords.
• You must not utilize our AI Employees to send spam, initiate high-volume unsolicited sales campaigns, or distribute abusive outbound communications.
• We reserve the right to suspend or terminate accounts that utilize AI agents for deceptive practices, fraudulent identity representation, or harassment.

6. Limitation of Liability & Indemnification

To the maximum extent permitted by law, ONEAPE and TheBlock shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from (a) the use or inability to use the Service; (b) any actions or client communications conducted by your AI Employees; or (c) any business disputes, unpaid invoices, or contract liabilities arising from negotiations facilitated by our tools. You agree to indemnify and hold ONEAPE harmless from any claims, losses, or legal costs arising from your business operations.

7. Changes to Terms

We reserve the right to modify these Terms at any time. When we make updates, we will post the revised terms on this page and update the "Last Updated" timestamp above. Your continued use of the Service after changes are published constitutes your acceptance of the revised Terms.
